Welcome to buynoks. By accessing or using our website, mobile site, or services, you agree to be bound by the following Terms & Conditions. Please read them carefully.

1. Platform Role & Disclaimer

buynoks is a technology-enabled marketplace platform that connects buyers and sellers for business-to-business (B2B) and business-to-consumer (B2C) transactions.

• buynoks does not sell products, does not guarantee business outcomes, and does not participate in negotiations between users.
• Our responsibility is strictly limited to enabling lead discovery and initiating a call connection between interested parties.
• Once a call is successfully connected, buynoks's role is complete.

2. User Eligibility

By using buynoks, you confirm that:

• You are at least 18 years of age
• You have legal authority to enter into binding agreements
• Information provided by you is accurate and complete

buynoks reserves the right to suspend or terminate access if false or misleading information is found.

3. Subscription Plans & Validity

• buynoks offers paid subscription plans (Silver, Gold, Platinum)
• All plans are valid for 30 days from the date of purchase
• Plan benefits, lead limits, and features vary by plan

⚠️ Unused leads, benefits, or features do not carry forward to the next billing cycle.

4. Lead Delivery & Scope of Responsibility

A "lead" is considered successfully delivered when:

• A call is connected between buyer and seller, OR
• Contact details are shared and accessible

buynoks does not guarantee:

• Conversion or sales
• Pricing acceptance
• Product availability
• Buyer intent or purchasing capacity

5. Lead Replacement Policy

Replacement will be considered only under the following conditions:

• Call not connected
• Phone number switched off
• Invalid or unreachable number

❌ Replacement will NOT be provided for:

• Buyer-seller discussion completed but deal not closed
• Price disagreement or negotiation failure
• Lack of follow-up by either party

Replacement limits are subject to the user’s active plan.

6. No Refund Policy

All payments made on buynoks are non-refundable.

This includes but is not limited to:

• Subscription fees
• Verification badges
• Promotional or add-on services

Refunds will not be issued for dissatisfaction, low conversion, or unused benefits.

7. Verification Badges

buynoks may offer Verified Seller or similar verification badges as part of certain plans or as paid add-ons.

• A verification badge indicates basic identity or business checks only.
• It is not a guarantee of product quality, delivery, pricing, or reliability.

buynoks reserves the right to revoke verification at any time without notice if misuse or misrepresentation is detected.

8. Add-on Services

Users may purchase additional services such as:

• Verification badges
• Promotional boosts
• Featured listings

Add-ons are:

• Time-bound
• Non-transferable
• Non-refundable

9. Payments & Taxes

• Payments are processed via third-party gateways such as Razorpay
• buynoks is not responsible for payment gateway downtime or errors
• Applicable taxes (including GST) are charged as per Indian law

Users are responsible for compliance with their own tax obligations.

10. Platform Fees & Changes

buynoks reserves the right to:

• Modify pricing, fees, or plan structure
• Introduce or remove features
• Change lead allocation logic

Such changes may apply prospectively and do not require prior notice.

11. Prohibited Use

Users agree not to:

• Misuse lead replacement policies
• Harass, spam, or mislead other users
• Share false product or business information
• Attempt to bypass platform systems

Violation may result in immediate suspension or termination.

12. Account Suspension & Termination

buynoks may suspend or terminate accounts without notice if:

• Terms are violated
• Fraudulent activity is suspected
• Platform integrity is at risk

No refunds will be provided in such cases.

13. Limitation of Liability

buynoks shall not be liable for:

• Business losses
• Missed opportunities
• Revenue loss or reputational damage
• Disputes between buyers and sellers

Maximum liability, if any, shall not exceed the amount paid by the user in the last 30 days.

14. Indemnification

You agree to indemnify and hold buynoks harmless from any claims, damages, or disputes arising from your use of the platform.

15. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

All disputes shall be subject to the exclusive jurisdiction of courts located in India.

17. Nature of Service

Our platform acts only as a lead connection service. Our responsibility is limited to connecting a buyer and seller through a phone call.

We do not:

• ✓ Guarantee sales or conversions
• ✓ Control buyer decisions, budget, or intent
• ✓ Participate in or influence post-call discussions

Once a call is successfully connected, our service is considered fulfilled.

18. Definition of a Valid Lead

A lead is considered successfully delivered when:

• ✓ The call is connected successfully
• ✓ The call duration is minimum 20–30 seconds

Call outcome, buyer interest, negotiation result, or sale completion are not part of lead validity.

19. Lead Replacement Policy

Lead replacement is applicable ONLY in case of verified technical failure, such as:

• ✓ Call not connected
• ✓ Number switched off
• ✓ Invalid phone number

Lead replacement is NOT applicable in following cases:

• ✗ Buyer answered but did not convert
• ✗ Price, budget, or requirement mismatch
• ✗ Negotiation failure or buyer refusal
• ✗ Seller dissatisfaction with lead quality after conversation

All replacement requests are subject to system verification and final approval by platform.

20. Replacement Limits

Replacement limits depend on subscribed plan:

• Silver Plan: ❌ No replacement
• Gold Plan: ✅ Maximum 2–3 technical replacements
• Platinum Plan: ✅ Maximum 5 technical replacements

Replacement requests must be raised within 24 hours of call attempt. Each lead can be requested for replacement only once.

21. Lead Sharing & Exclusivity

Leads may be shared with multiple sellers depending on subscription plan.

• Silver leads are shared with higher number of sellers
• Gold leads are shared with limited sellers
• Platinum leads are shared with very few sellers

The platform does not guarantee exclusivity, unless explicitly stated.

22. Lead Validity Period

Leads must be used within validity period of subscribed plan:

• Silver: 30 days
• Gold: 45 days
• Platinum: 60 days

Unused leads expire automatically and are not refundable or transferable.

23. Badges & Listings

Badges such as Verified Seller or Trusted Business are issued based on internal checks and platform discretion.

The platform reserves right to add, modify, or remove badges and listing priorities at any time without prior notice.

24. Support & Response Time

Support is provided as per subscription plan:

• Silver: Email/Ticket support
• Gold: Priority WhatsApp support
• Platinum: Dedicated support

Response times are indicative, not guaranteed.

25. Payments & Refund Policy

All subscription payments are non-refundable.

No refunds will be issued for:

• ✗ Non-conversion of leads
• ✗ Dissatisfaction after buyer conversation
• ✗ Unused or expired leads
• ✗ Suspension due to policy violation

26. Fair Use Policy

Any misuse of platform, including but not limited to:

• ✗ False replacement requests
• ✗ Repeated abuse of support
• ✗ Attempting to manipulate call outcomes
• ✗ Misrepresentation of business details

May result in temporary suspension or permanent termination of account without refund.

27. Limitation of Liability

The platform shall not be liable for:

• ✗ Business losses
• ✗ Missed opportunities
• ✗ Buyer behavior
• ✗ Indirect, incidental, or consequential damages

Our maximum liability, if any, shall not exceed the subscription amount paid.

28. Right to Modify Service

We reserve the right to:

• ✓ Modify plans, pricing, features
• ✓ Change lead allocation logic
• ✓ Update Terms & Conditions

Continued use of the platform constitutes acceptance of updated terms.

29. Governing Law

These Terms & Conditions shall be governed by and interpreted under the laws of India. Any disputes shall fall under the jurisdiction of courts located in [Your City/State].

30. Seller Types & Eligibility

buynoks supports different seller categories including but not limited to:

• • GST Sellers
• • Non-GST Sellers
• • Retail Sellers
• • Wholesalers
• • Manufacturers

The platform reserves the right to determine, classify, modify, or reclassify seller categories based on submitted information and verification requirements.

Submission of registration information does not guarantee approval.

buynoks reserves the right to approve, reject, suspend, or remove any seller account without prior notice.

31. Non-GST Seller Policy

buynoks may allow eligible users without GST registration or business licenses to sell products under a Non-GST Seller category.

Non-GST sellers acknowledge and agree that:

• • They are solely responsible for complying with all applicable Indian laws and tax requirements.
• • buynoks does not provide tax, legal, accounting, or compliance advice.
• • buynoks does not assume responsibility for any legal consequences arising from seller activities.
• • Non-GST sellers may be subject to product category limitations and platform restrictions.

buynoks reserves the right to request additional documents or suspend such accounts at any time.

32. Seller Verification & Document Review

buynoks may collect documents including but not limited to:

• • Aadhaar Card
• • PAN Card
• • Address Proof
• • Bank Details
• • Business Documents
• • Additional supporting documents

Submission of documents does not guarantee approval.

buynoks may verify, reject, or request additional information at its sole discretion.

Providing false, misleading, manipulated, or invalid information may result in:

• • Immediate rejection
• • Account suspension
• • Permanent termination
• • Removal of seller privileges without refund

33. Distributor Program Policy

buynoks may operate a distributor referral program.

Distributors acknowledge and agree that:

• • Referral codes are unique and assigned only after approval.
• • Referral benefits apply only to sellers who register using a valid referral code.
• • Referral commissions apply only according to active platform policies.
• • buynoks reserves the right to modify commission structures at any time.

buynoks may suspend, revoke, cancel, or modify distributor benefits without prior notice if misuse, fraud, manipulation, or suspicious activity is detected.

34. Distributor Earnings & Commission Rules

Distributor earnings may include:

One-Time Seller Joining Rewards:

• • Silver Seller Plan → ₹100
• • Gold Seller Plan → ₹250
• • Platinum Seller Plan → ₹300
• • Non-GST Retailer Lite → ₹50

One-time rewards:

• • Apply only on the seller's first subscription purchase
• • Will not be repeated for the same seller

Recurring commissions:

Distributor may receive a 4% commission on eligible seller subscription renewals, repurchases, or upgrades

Commission conditions:

• • Apply only when the seller registered using a valid distributor referral code
• • Sellers without referral codes are considered direct platform sellers
• • Direct platform sellers generate no distributor commission

buynoks reserves the right to hold, review, reverse, modify, delay, or cancel commissions in cases of:

• • Fraud
• • Abuse
• • Suspicious transactions
• • Payment failures
• • Refund adjustments
• • System errors

buynoks's decision regarding commissions shall be final.

35. Service Center Policy

buynoks may operate service centers for lead management and seller onboarding activities.

Service centers:

• • Do not represent buynoks as legal agents, employees, partners, or decision makers
• • May only perform activities explicitly permitted by the platform
• • Must not make unauthorized commitments or guarantees

buynoks reserves the right to suspend or terminate service center access at any time.

36. Seller Leads Policy

Information collected through preliminary seller interest forms including seller-registration-handler.php is treated only as lead information.

Lead information:

• • Does not create a seller account
• • Does not provide seller privileges
• • Does not provide dashboard access
• • Does not create distributor commission eligibility
• • Does not guarantee approval

A seller account becomes active only after completing the official seller registration process.

37. Marketplace Responsibility Disclaimer

buynoks acts solely as a technology platform connecting buyers and sellers.

buynoks does not:

• • Manufacture products
• • Own listed products
• • Inspect every listed item
• • Guarantee product quality
• • Guarantee delivery
• • Guarantee authenticity
• • Guarantee buyer behavior
• • Guarantee seller behavior

Users transact at their own risk.

38. Platform Rights

buynoks reserves the unrestricted right to:

• • Change plans
• • Change pricing
• • Modify commissions
• • Modify subscription features
• • Change seller benefits
• • Modify lead logic
• • Modify badge systems
• • Remove features
• • Introduce new policies

Such changes may take effect immediately.

39. Data Usage & Platform Records

Users acknowledge that:

• • buynoks may maintain activity records
• • System logs may be used for fraud prevention
• • Platform records may be used as evidence during disputes
• • Internal system records shall prevail in case of conflict

40. Entire Agreement

These Terms & Conditions constitute the complete agreement between users and buynoks and supersede prior understandings or communications.
