Become a Seller on BuyNoks

This Seller Agreement ("Agreement") is a legally binding contract between buynoks ("Platform", "we", "us") and the individual or entity registering as a seller ("Seller", "you").

By registering or listing products on buynoks, you agree to all terms below.

1️⃣ Platform Role Disclaimer (MOST IMPORTANT)

buynoks is a technology and listing platform only. buynoks does not own, sell, store, inspect, manufacture, pack, or deliver any products listed by Sellers.

All sales contracts are strictly between the Seller and the Customer. buynoks is not a party to such transactions.

2️⃣ Seller Eligibility

• Minimum age: 18 years
• Must have legal authority to sell products
• Must provide valid KYC, GST (if applicable), bank details
• Sellers are solely responsible for regulatory compliance

buynoks may reject or terminate sellers at its sole discretion.

3️⃣ Product Listings & Content

Sellers must ensure:

• Accurate descriptions, pricing, and images
• No illegal, counterfeit, infringing, obscene, or prohibited items
• No misleading claims

buynoks may remove listings without notice if a violation is suspected.

4️⃣ Pricing, Fees & Taxes

• Sellers set final product prices
• buynoks may charge platform fees, subscription fees, verification fees, lead fees, or service charges as displayed on the platform
• All fees are exclusive of GST unless stated otherwise
• GST on buynoks fees is borne by the Seller

buynoks reserves the right to revise fees with or without prior notice.

5️⃣ Payments & Settlement

• Payments are processed via third-party gateways (e.g., Razorpay)
• buynoks does not guarantee payment completion or settlement speed
• Settlements may be held for disputes, refunds, or chargebacks
• Razorpay or bank fees are non-refundable

6️⃣ Order Fulfillment

• Seller is fully responsible for packaging, shipping, delivery, and after-sales service
• buynoks has no liability for delays, loss, or damage

7️⃣ Refunds, Returns & Chargebacks

• Seller bears 100% responsibility for refunds, replacements, and chargebacks
• buynoks may reverse Seller payouts to cover disputes
• Gateway charges, GST, shipping costs are non-refundable
• buynoks decisions on disputes are final

8️⃣ Intellectual Property

Seller confirms ownership or valid license of all content.

Seller indemnifies buynoks against all IP claims, legal costs, and damages.

9️⃣ Seller Conduct & Performance

buynoks may take action for:

• High refund rates
• Customer complaints
• Fraud or abuse

Actions include delisting, fund holds, suspension, or termination.

🔟 Termination

buynoks may suspend or terminate Seller accounts without notice.

Upon termination:

• Listings are removed
• Pending funds may be held
• No refund of fees

1️⃣1️⃣ Limitation of Liability (CRITICAL)

buynoks's maximum liability, if any, shall never exceed the total fees paid by the Seller in the preceding 30 days.

buynoks shall not be liable for indirect, incidental, or consequential damages.

1️⃣2️⃣ Indemnity

Seller agrees to fully indemnify buynoks against:

• Customer claims
• Tax liabilities
• Legal disputes
• Regulatory penalties

1️⃣3️⃣ Governing Law

This Agreement is governed by Indian law.

Jurisdiction: Courts of Seller's registered location or buynoks's registered office (at buynoks's option).
